Job Description:
- Report to the chairman and liaise with Board members and provide advice relating to Companies Act, ROC and Secretarial matters.
- Prepare Agendas and papers for Board meetings, committees, and Annual General Meetings (AGMs) and follow up on Action Points.
- Convene and service AGMs, take minutes, draft resolutions, and lodge required forms and annual returns with appropriate departments.
- Provide legal or strategic advice during and outside of meetings.
- Ensure compliance with Corporate Laws and necessary reporting to authorities.
- Ensure Policies, Regulatory, or Statutory changes that might affect the organization are tracked up to date and necessary responses are initiated.
- Maintain statutory books, including registers of Members, Debenture holders, Minutes of Meetings of the Board of Directors and Members and Coordinate with Board Members.
- Handle correspondence, collate information, write reports and communicate decisions to relevant company stakeholders.
- Liaise with external Regulators and Advisers such as lawyers, Practicing CS Firms and auditors.
- Maintaining good Investor Relations;
- Implement processes and systems to ensure good Governance of the Company.
- Develop and oversee the systems that ensure the company complies with all applicable Acts and Regulations.
- Act as Executive Secretary to the CMD and provide all Secretarial assistance including coordinating Travel Plans, Appointments, Contacts and Meetings, assist in Corespondence and co-ordinate with various functionaries to assist in gathering data and information and in following up and execution of his instructions.
Key Skills
- Good Knowledge of Spoken and Written English and Excellent Communication Skills;
- Thorough Knowledge of Companies Act, Corporate & Statutory laws;
- Ability to Draft and Vet Agreements, & E-Filing of Forms;
- Knowledge of Issue of shares and Debentures in India;
- Ability to Liaise with ROC, RBI and other Authorities;
- Good articulation and ability to interact with Board Members and Senior Company Executives.
- Quick understanding of instructions of the CMD, alertness and prompt action orientation;
- Meticulousness in performing Tasks;
- Ability to be discreet and maintain confidentiality of sensitive matters;

- Regular Demand Vs Collection for the day MIS maintaining and confirmation to accounts
- OD Demand vs Collection, MIS and details shared to accounts
- Report on non-payment of demand
- Track advance payments and share details to finance department
- Track on Late payment fee
- Coordination with branch team on collections
- Building and maintaining a solid sales pipeline at all times.
- Taking responsibility of the sales process for inbound leads. Proactively identifying new target clients.
- Taking ownership of the process from its beginning till successful conclusion.
- Ensuring that the solution proposed meets the member’s specific requirements in consultation with Product Teams.
- Maintaining an understanding of competitive activity relevant to the industry sector.
- Produce an accurate weekly forecast and pipeline & Strong result orientation, self-motivation.
- Coordinating with the Company & the internal Credit team to close Documentation
